Terms & Conditions for Partnership

This Partner Terms of Service ("Agreement") outlines the terms and conditions under which a business ("Partner" or "You") may list its services on our platform ("Platform"). By submitting a listing, you agree to be bound by this Agreement.

1. Consent and Accuracy

a. Responsibility for Content. You are solely responsible for the accuracy, completeness, and legality of all information, descriptions, images, and other content you submit for your listing ("Partner Content"). You agree to not give any fraudulent email addresses or phone numbers including but not limited to: disposable email addresses/phone numbers or scam/spam email addresses/phone numbers.

b. Quality Control. We reserve the exclusive right, at our sole discretion, to review, edit, or remove any Partner Content at any time and for any reason, including but not limited to, irrelevance, inappropriateness, or misrepresentation. We are not obligated to provide a reason for removal.

c. No Guarantee. We do not guarantee that your submission will be approved or that your listing will be published on the Platform. The decision to publish is solely our discretion.

2. Grant of License

By submitting Partner Content, you grant us a non-exclusive, worldwide, royalty-free, perpetual, and irrevocable license to use, reproduce, modify, adapt, publish, display, and distribute the Partner Content in connection with the operation of the Platform. This includes the right to use your business name, logo, trademarks, and any images or descriptions provided for the purpose of promoting your listing.

3. Limitation of Liability

The Platform acts as a venue for Partners to list their services. We are not a party to any transactions, agreements, or disputes that may arise between a Partner and a Platform user. We shall not be liable for any direct, indirect, incidental, consequential, or special damages, including but not limited to, loss of profits, data, or business opportunities, that result from your use of or inability to use the Platform.

4. Indemnification

You agree to indemnify, defend, and hold harmless our company, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with: (i) your access to or use of the Platform; (ii) your violation of this Agreement; or (iii) any claims related to your Partner Content, including intellectual property infringement or false advertising.

5. General Provisions

a. Entire Agreement. This Agreement constitutes the entire agreement between you and us concerning your use of the Platform as a Partner.

b. Changes to the Agreement. We reserve the right to modify this Agreement at any time. We will notify you of any material changes by posting the new Agreement on our website. Your continued use of the Platform after such changes constitutes your acceptance of the new terms.

c. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law principles.
